Team Agreements – Fyrecon

Welcome to the Fyrecon Team. We are excited to have you join us and just need to take care of a bit of legal paperwork. Please sign for each of the forms below and we’ll be ready to go. Please note, we do reserve the right to edit, add to, or remove policies at our discretion.

Volunteer Service and Non-Disclosure Agreement

This Agreement is entered into by and between Fyre Ink, INC (DBA: “FyreCon”) and

(“Staffer”) and made effective as of date signed by

as indicated below.

I. CONFIDENTIAL INFORMATION. The term "Confidential Information" means any information or material of the types listed below which Staffer may obtain directly or indirectly through Staffer’s association with FyreCon.

a. Confidential Information includes without limitation:

A. business records, business plans, customer lists, financial information, pricing,
B. Personally identifiable information (PII) about any participant, guest, customer, vendor, partner, or staffer of FyreCon. PII is defined as any information about an individual that alone or in combination with other information can be used to identify, contact, trace or locate the person. It includes name, email address, phone number, other address or identifier whether digital (e.g. IP address, Twitter handle) or analog (e.g. street address, description). Further examples include name, social security number, date and place of birth, mother‘s maiden name, biometric records; and any other information that is linked or linkable to an individual, such as medical, educational, financial, and employment information.
C. copyrights, trademarks, trade secrets, inventions, computer source and/or object code, and other intellectual property or proprietary information disclosed to FyreCon by a guest, participant, customer, vendor, partner, or the Staffer
D. any other information that is not generally known other than by FyreCon and its other staffers.

b. Confidential Information does not include non-PII which is now or subsequently becomes generally known or available for publication, commercial use, or otherwise through no fault of the Staffer. PII is always to be considered Confidential Information.

II. USE AND PROTECTION OF CONFIDENTIAL INFORMATION. FyreCon will use Confidential Information including PII in a variety of ways, such as preparing contact lists, distributing information, and otherwise interacting with participants, guests, customers, vendors, staffers or other persons individually or in groups. The FyreCon Board of Directors has the final say on whether a proposed use is permitted. By virtue of being part of the effort, Staffer is authorized to access and use Confidential Information for these purposes and also expressly authorizes these uses of Staffer’s own PII by FyreCon. FyreCon reserves the right to retain and use the PII of Staffer even after Staffer ceases to be on the staff, treating Staffer as a participant, guest, customer, vendor, or partner thereafter as it chooses, unless Staffer requests in writing that the PII be not used and that FyreCon cut off all communications.

Staffer will not directly or indirectly use, disseminate, publish, or disclose any person’s PII without written consent from that individual. Staffer will not directly or indirectly use, disseminate, publish, or disclose any non-PII Confidential Information without written consent from FyreCon, and further agrees not to use such Confidential Information in any manner or for any purpose except for advancing the operations of FyreCon.

Unauthorized Disclosure of Information. If it appears that Staffer has disclosed or used (or has threatened to disclose or use) any PII or other Confidential Information in violation of this Agreement, FyreCon shall be entitled to an injunction to restrain Staffer from such action. Neither party shall be prohibited by this provision from pursuing other remedies, including a claim for losses and damages.

III. GENERAL PROVISIONS. This Agreement sets forth the entire understanding of the parties regarding confidentiality. Any amendments must be in writing and signed by both parties. This Agreement shall be construed under the laws of the State of Utah. This Agreement shall not be assignable by either party, and neither party may delegate its duties under this Agreement, without the prior written consent of the other party. The confidentiality provisions of this Agreement shall remain in full force and effect permanently, regardless of whether the Staffer continues association with FyreCon.

IV. Each party shall be entitled to reasonable attorneys’ fees and costs as they may be reasonably incurred by that party in enforcing this Agreement, seeking injunctive relief, or correcting any breach there upcoming including such fees incurred even though court action may not be filed, in correcting any breach.

Social Media Policy

Fyre Ink, INC (DBA: “Fyrecon”) recognizes that staff members engage in social media and encourages this behavior. As such we would like to set a few guidelines regarding social media and Fyrecon.

1. No political posts on Fyrecon’s Facebook, Twitter, Website, or other social media outlets as this may affect our 501c3 status. Fyrecon does need to remain politically neutral.

a. No politician’s likeness in the memes or other content even if it is not political. We want to err on the side of caution.
b. Personal opinions on private social media is at the discretion of the staff member. As long as you don’t associate your personal political opinions with Fyrecon we don’t care.

2. No disrespectful posts or content regarding guests, professionals, attendees, or other conventions/conferences/symposiums on Fyrecon’s Facebook, Twitter, Website or other social media outlets.

a. If there is an issue, please let one of the directors know.
b. Personal opinions on private social media is at the discretion of the staff member. As long as you don’t associate your personal opinions with Fyrecon we don’t care.

3. Fyrecon does not like Spam. Who does? As such while working on behalf of Fyrecon spamming practices are not allowed. Use your best judgement.

4. Fyrecon reserves the right to add more to or edit this policy at our discretion or annually. Staff members will be notified as updates occur.

Email Policy

Fyrecon recognizes that most of our business is conducted electronically. As such we would like to set a few guidelines regarding email and Fyrecon.

1. Official Fyrecon business should be conducted through Fyrecon email addresses. Please contact the directors if you need assistance with your email.

2. No political emails may be sent through Fyrecon email addresses as this may affect our 501c3 status. Fyrecon needs to remain politically neutral.
